Race-Notice

A recording statute giving priority to the first to record without notice of an earlier unrecorded interest.

In a race-notice jurisdiction, a subsequent purchaser prevails over an earlier unrecorded interest only if they took without notice of the earlier interest and recorded first. Most U.S. states use race-notice. Misconception: race-notice is not just about recording first; the recording party must also be a bona fide purchaser without notice. Practically, race-notice strongly incentivizes prompt recording. In seller-financed transactions, this means deeds, mortgages, and memoranda of contract should be recorded the same day as closing whenever possible. Failure to record promptly can result in losing priority to later filings, even if the later filer paid less. Title companies use date-down searches to confirm no intervening filings before recording the closing documents.
